ReleasePoint, Inc.

These Terms and Conditions (“Terms”) govern your access to and use of ReleasePoint’s systems, portals, APIs, and related services (“Services”). By accessing or using our Services, you agree to be legally bound by these Terms, our Privacy Policy, and any applicable agreements between your organization and ReleasePoint. If you do not agree to these Terms, do not use the Services.

We reserve the right to update these Terms at any time. Continued use of the Services after any updates constitutes acceptance of the revised Terms.

1. Access to Services

ReleasePoint’s Services are intended solely for use by authorized entities such as government agencies, insurance firms, healthcare providers, and their approved representatives. You may access the Services only with proper credentials and only for the purposes defined in your organization’s agreement with ReleasePoint.

2. Authorized Use

You may use the Services for the sole purpose of retrieving, submitting, or managing medical records and authorizations. You agree not to:

  • Use the Services in a manner that violates any applicable laws or regulations (including HIPAA and the Privacy Act).
  • Access or attempt to access unauthorized data.
  • Upload or transmit malware or other harmful code.
  • Use the Services in a way that could impair their functionality or integrity.

3. Intellectual Property

All content, software, logos, and interfaces within the Services are the property of ReleasePoint or its licensors. You are granted a limited, non-exclusive, non-transferable right to use the Services solely as permitted by your agreement with ReleasePoint. You may not copy, modify, distribute, reverse-engineer, or create derivative works without our prior written consent.

4. Security and Data Protection

ReleasePoint employs industry-standard safeguards, including encryption, access controls, and audit logging, to protect personal health information (PHI) and other sensitive data. All data handling is conducted in accordance with HIPAA, federal and state privacy laws, and security controls appropriate for high-trust environments such as integrations with the VA.

You are responsible for maintaining the confidentiality of your organization’s login credentials and for ensuring that only authorized personnel access the Services.

5. API Usage (If Applicable)

Use of ReleasePoint’s APIs is subject to the terms of the API License Agreement and must follow provided documentation. Automated access is permitted only through approved integrations, and rate limiting or throttling may be enforced. API keys must be stored securely and may not be shared.

6. Service Availability

We strive to provide 24/7 access to our Services but do not guarantee uninterrupted uptime. We may perform maintenance or experience outages due to factors beyond our control. Notifications will be provided when feasible.

7. Disclaimer of Warranties

All Services are provided “as is” and “as available.” ReleasePoint makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be error-free, uninterrupted, or completely secure.

8. Limitation of Liability

To the fullest extent permitted by law, ReleasePoint shall not be liable for any indirect, incidental, consequential, or special damages, including loss of data or business interruption, arising out of or related to use of the Services—even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold harmless ReleasePoint and its officers, employees, and affiliates from any claims, damages, liabilities, or expenses (including attorney fees) arising from your misuse of the Services or violation of these Terms.

10. Third-Party Services

Our Services may include links or integrations with third-party systems, including government or EHR platforms. ReleasePoint is not responsible for the content, security, or privacy practices of these third-party services.

11. Compliance with Laws

You are responsible for ensuring that your use of our Services complies with all applicable laws and regulations, including HIPAA, the Privacy Act, and any VA-specific mandates or requirements.

12. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the State of California and applicable federal law. Any disputes shall be resolved in the courts located in California unless otherwise governed by a separate agreement.
